Il dott. Giacomo Ridella

Giacomo Ridella

- M&A e private equity.

- Trust, successioni e passaggi generazionali.

Giacomo Ridella

Notaio in Milan, partner of the firm since 2015

Giacomo Ridella is a notaio (Italian civil-law notary) in Milan and has been a partner at The Italian Notaries · Busani & Partners since 2015, where he coordinates the team dedicated to international clients. He is a member of The Kronberg Circle, an international network of notaries who work together across borders.

He works with corporate groups, investment funds, banks, family offices and law firms, Italian and international, on corporate, real estate and finance transactions. Entrepreneurial families turn to him for trusts, successions and generational transfers.

Practice areas

- M&A and private equity. Acquisitions, mergers, demergers and reorganisations for Italian and foreign groups and for private equity and venture capital funds, from structuring to closing; investment rounds for start-ups and scale-ups, articles of association with classes of shares and quotas, closings with signatures in several countries.

- Real estate and energy. Sale and purchase transactions of every size: logistics, commercial and hotel portfolios for funds and investors, residential developments by builders, purchases by foreign investors and private buyers, renewable energy plants and project financing.

- Finance and security packages. Mortgages, pledges over shares and quotas and other security for large financings, including with foreign banks and funds, with execution timed to the financing timetable.

- Trusts, successions and generational transfers. Domestic and foreign trusts, successions, including international ones, family holding companies and family arrangements; deposit of foreign trust deeds with a notaio and contributions to foreign trusts.

- Third sector. Incorporation, articles of association and entry in the RUNTS (the Italian register of third sector entities) for associations, foundations and other third sector entities, including family and corporate foundations.

- Escrow agent. Appointments as escrow agent in M&A, finance and real estate transactions: funds and documents are deposited with the notaio and released on the parties' instructions once the agreed conditions are met.

In every transaction he takes care of the tax aspects of the deed (indirect taxes, inheritance and gift tax, trusts) and checks foreign powers and documents early, so that closing is never held up by a missing power of attorney or apostille. For law firms and advisers he drafts opinions and memoranda, in Italian and English, on the notarial, corporate and tax aspects of transactions.

Education and academic work

He graduated in law from the University of Milan, with study periods in New York and London, and trained at Fondazione Casale in Naples and at the Scuola Notarile Napoletana. He passed two national notarial competitions (2010 and 2011).

He has taught private and commercial law at LUM Jean Monnet University and at notarial schools. He writes for Il Sole 24 Ore and for law journals (Famiglia e Diritto, Notariato, Corriere Giuridico, Corriere Tributario, Vita Notarile) and is the author, for Practical Law (Thomson Reuters), of The Role of the Notary in Corporate and Commercial Transactions (Italy), 2022. Every three months he publishes on LinkedIn, in Italian, the journal «Appunti su operazioni societarie e strutture patrimoniali».
